Agreement to Terms

These Terms of Service ("Terms") constitute a legally binding agreement between you ("you," "your," or "User") and TrueHaven, Inc. ("TrueHaven," "we," "us," or "our") governing your access to and use of the TrueHaven mobile application, website, and related services (collectively, the "Service").

PLEASE READ THESE TERMS CAREFULLY BEFORE USING THE SERVICE. BY ACCESSING OR USING THE SERVICE, YOU AGREE TO BE BOUND BY THESE TERMS AND ALL APPLICABLE LAWS AND REGULATIONS. IF YOU DO NOT AGREE TO THESE TERMS, YOU MAY NOT ACCESS OR USE THE SERVICE.

1. Eligibility

1.1 Age Requirements

You must be at least 13 years of age to use the Service. If you are between 13 and 18 years of age (or the age of majority in your jurisdiction), you may only use the Service with the consent of your parent or legal guardian, who must agree to be bound by these Terms on your behalf.

By using the Service, you represent and warrant that:

  • You are at least 13 years of age
  • If you are a minor, your parent or legal guardian has reviewed and agreed to these Terms
  • You have the legal capacity to enter into this agreement
  • You are not prohibited from using the Service under applicable laws

1.2 Geographic Restrictions

The Service is intended for use worldwide, subject to compliance with local laws. You are responsible for ensuring that your use of the Service complies with all applicable laws and regulations in your jurisdiction.

1.3 Account Restrictions

You may not use the Service if:

  • You have been previously banned from the Service
  • You are required to register as a sex offender in any jurisdiction
  • You are prohibited by law from using social media services
  • You are acting on behalf of a prohibited entity or individual

2. Account Registration and Security

2.1 Account Creation

To use certain features of the Service, you must create an account. You may register using Apple Sign In. By registering, you agree to:

  • Provide accurate, current, and complete information
  • Maintain and promptly update your account information
  • Keep your account credentials confidential
  • Accept responsibility for all activities under your account
  • Notify us immediately of any unauthorized access

2.2 Username Selection

When selecting a username, you agree that it must:

  • Be between 3 and 15 characters
  • Contain only lowercase letters, numbers, and underscores
  • Not infringe on any trademark or intellectual property rights
  • Not impersonate any person, brand, or entity
  • Not contain profanity, hate speech, or offensive content
  • Not be a reserved word (admin, support, official, etc.)

We reserve the right to reject or revoke any username at our sole discretion.

2.3 Account Security

You are solely responsible for maintaining the security of your account. You agree to:

  • Use secure authentication methods
  • Not share your account with others
  • Not transfer your account to another person
  • Log out from shared or public devices
  • Enable available security features
  • Monitor your account for unauthorized activity

2.4 One Account Per Person

Each user may maintain only one personal account. Creating multiple accounts to evade bans, manipulate features, or for any other purpose is prohibited.

2.5 Account Verification

We may verify accounts through various means. Verified accounts receive a verification badge. Verification does not constitute endorsement and may be revoked at our discretion.

3. User Content

3.1 Definition

"User Content" means any content that you post, upload, share, submit, or otherwise make available through the Service, including but not limited to:

  • Text posts (up to 500 characters)
  • Images and photographs (up to 10 per post)
  • Videos (up to 10 per post)
  • Audio recordings (up to 3 minutes)
  • Polls and poll responses
  • Comments and replies
  • Direct messages
  • Community messages
  • Profile information and images
  • Any other content you submit

3.2 Ownership

You retain all ownership rights to your User Content. We do not claim ownership of any User Content you submit.

3.3 Responsibility

You are solely responsible for your User Content. You represent and warrant that:

  • You own or have the necessary rights to post your User Content
  • Your User Content does not infringe any third-party rights (including intellectual property, privacy, and publicity rights)
  • Your User Content complies with these Terms and our Community Guidelines
  • Your User Content does not violate any applicable laws
  • All factual statements in your User Content are accurate

3.4 No Obligation to Monitor

We have no obligation to monitor, review, or edit User Content. However, we reserve the right to do so at any time, with or without notice, for any reason.

3.5 Content Removal

We may remove or disable access to any User Content at any time, with or without notice, for any reason, including but not limited to:

  • Violation of these Terms or Community Guidelines
  • Violation of applicable laws
  • Risk to user safety
  • Legal requests or requirements
  • Protection of our rights or the rights of others

3.6 Backup

We do not guarantee the preservation or backup of User Content. You are responsible for maintaining your own backups of any content you wish to preserve.

4. License Grant

4.1 License to TrueHaven

By submitting User Content, you grant TrueHaven a worldwide, non-exclusive, royalty-free, sublicensable, and transferable license to use, reproduce, modify, adapt, publish, translate, create derivative works from, distribute, perform, and display your User Content in connection with operating and providing the Service. This license includes the right to:

  • Display your content to other users
  • Format and optimize your content for different devices
  • Create thumbnails and previews
  • Analyze your content for safety and moderation purposes
  • Use your content for promoting and improving the Service
  • Store and backup your content

4.2 License Duration

This license continues until your User Content is deleted from the Service, except that:

  • Content that has been shared, reposted, or copied by others may persist
  • We may retain content in backups for a reasonable period
  • We may retain content as required for legal compliance

4.3 License to Other Users

When you share User Content publicly or with specific users, you grant those users a license to view, share, repost, and engage with your content as permitted by the Service's features and your privacy settings.

4.4 Feedback

Any feedback, suggestions, or ideas you provide regarding the Service become our property. We may use such feedback without compensation or attribution to you.

4.5 License to Use the Service

Subject to your compliance with these Terms, we grant you a limited, non-exclusive, non-transferable, revocable license to access and use the Service for your personal, non-commercial use.

5. Prohibited Conduct

You agree not to engage in any of the following prohibited activities:

5.1 Illegal Activities

  • Violating any applicable laws, regulations, or legal requirements
  • Promoting or facilitating illegal activities
  • Money laundering or terrorist financing
  • Drug trafficking or illegal substance promotion
  • Human trafficking or exploitation
  • Distribution of illegal content (child sexual abuse material, etc.)

5.2 Harmful Content

  • Posting content that promotes violence or physical harm
  • Threatening, harassing, or intimidating other users
  • Posting hate speech targeting protected characteristics
  • Posting content that promotes self-harm or suicide
  • Posting content that glorifies terrorism or violent extremism
  • Posting content that sexually exploits or endangers minors

5.3 Deceptive Practices

  • Impersonating any person, business, or entity
  • Spreading misinformation or disinformation
  • Creating fake or misleading accounts
  • Manipulating engagement metrics artificially
  • Coordinated inauthentic behavior
  • Scamming, phishing, or defrauding users
  • Misrepresenting your identity or affiliations

5.4 Privacy Violations

  • Posting others' private information without consent (doxxing)
  • Posting intimate images without consent
  • Stalking or surveilling other users
  • Unauthorized access to others' accounts
  • Collecting user data without authorization

5.5 Intellectual Property Violations

  • Infringing copyrights, trademarks, or other intellectual property rights
  • Posting content you do not have rights to share
  • Circumventing digital rights management (DRM)
  • Counterfeiting or piracy

5.6 Platform Abuse

  • Circumventing security measures or access restrictions
  • Attempting to gain unauthorized access to systems or data
  • Interfering with the proper functioning of the Service
  • Using bots, scripts, or automated tools without authorization
  • Creating multiple accounts to evade bans or restrictions
  • Exploiting bugs or vulnerabilities
  • Reverse engineering the Service
  • Scraping or harvesting user data
  • Excessive use that burdens infrastructure

5.7 Spam and Manipulation

  • Sending unsolicited bulk messages
  • Excessive posting or commenting
  • Artificial engagement (fake likes, follows, etc.)
  • Purchasing or selling accounts, followers, or engagement
  • Coordinated manipulation campaigns

5.8 Commercial Activities

  • Using the Service for unauthorized commercial purposes
  • Advertising or promoting products/services without authorization
  • Soliciting users for commercial transactions
  • Running contests or promotions without approval

6. Content Moderation and Enforcement

6.1 Moderation Practices

We employ a combination of automated systems and human moderators to enforce our policies. Our moderation practices include:

Automated Moderation

  • AI-powered content scanning for prohibited content
  • Image and video analysis for inappropriate material
  • Text analysis for hate speech, harassment, and spam
  • Pattern detection for coordinated behavior

Human Review

  • Review of flagged content
  • Appeal processing
  • Policy interpretation for edge cases
  • Quality assurance of automated systems

6.2 User Reporting

Users may report content or accounts that violate our policies. When you submit a report, you agree that:

  • Your report is made in good faith
  • The information you provide is accurate
  • False or malicious reports may result in action against your account

6.3 Strike System

We implement a strike system for policy violations:

Strike Accumulation

  • Violations result in strikes against your account
  • Strike severity depends on the nature of the violation
  • Strikes may expire over time for minor violations

Enforcement Escalation

  • 1-2 Strikes: Warning and content removal
  • 3 Strikes: Temporary suspension (duration varies)
  • 5+ Strikes: Permanent ban

Immediate Actions

  • Severe violations may result in immediate suspension or ban without prior strikes
  • Illegal content results in immediate removal and potential law enforcement referral

6.4 Account Actions

We may take the following actions against your account:

  • Content Removal - Removal of specific violating content
  • Warning - Notification of policy violation without further action
  • Feature Restrictions - Temporary limitation of specific features
  • Temporary Suspension - Account access suspended for a specified period
  • Permanent Ban - Permanent removal from the Service

6.5 Appeals

You may appeal moderation decisions through our appeals process:

  • Appeals must be submitted within 30 days of the action
  • You must provide a clear explanation of why you believe the decision was incorrect
  • Appeals are reviewed by our moderation team
  • Decisions on appeals are final
  • Frivolous or abusive appeals may result in additional action

6.6 Transparency

We are committed to transparency in our moderation practices:

  • You will be notified of actions taken against your account
  • You will receive information about the reason for the action
  • You will be informed of your appeal rights
  • We maintain audit logs of moderation actions

7. Community Features

7.1 Communities

Users may create and participate in Communities (also called Channels). Communities are subject to:

  • These Terms of Service
  • Community Guidelines
  • Community-specific rules set by moderators

7.2 Community Roles

  • Creators/Admins - Full control over Community settings and moderation
  • Moderators - Delegated moderation powers within the Community
  • Members - Standard participation rights

7.3 Community Creator Responsibilities

If you create a Community, you agree to:

  • Enforce TrueHaven policies within your Community
  • Not allow content that violates our Terms or Guidelines
  • Respond to moderation requests from TrueHaven
  • Not use your Community for prohibited purposes

7.4 Community Member Conduct

When participating in Communities, you agree to:

  • Follow Community-specific rules
  • Respect Community moderators' decisions
  • Not disrupt Community activities
  • Not use Communities for spam or self-promotion

7.5 Community Moderation Features

Communities may enable:

  • Slow mode (time limits between messages)
  • Announcement mode (restricted posting)
  • Content filtering and word filters
  • Member approval requirements
  • Minimum account age requirements

7.6 Community Removal

We reserve the right to remove Communities that:

  • Violate our policies
  • Are used for illegal purposes
  • Pose safety risks to users
  • Are abandoned or inactive

8. Privacy

8.1 Privacy Policy

Your use of the Service is also governed by our Privacy Policy, which is incorporated into these Terms by reference. Please review our Privacy Policy to understand how we collect, use, and protect your information.

8.2 Data Collection

By using the Service, you consent to the collection, use, and sharing of your information as described in our Privacy Policy.

8.3 Communications

By creating an account, you agree to receive:

  • Service-related notifications and announcements
  • Push notifications (which you may disable)
  • Important security and account alerts

9. Intellectual Property Rights

9.1 TrueHaven's Intellectual Property

The Service and its original content (excluding User Content), features, and functionality are owned by TrueHaven and are protected by copyright, trademark, patent, trade secret, and other intellectual property laws. This includes, but is not limited to:

  • The TrueHaven name, logo, and branding
  • The Service's design, layout, and appearance
  • Software, code, and algorithms
  • Text, graphics, and icons
  • Documentation and marketing materials

9.2 Restrictions

You may not:

  • Copy, modify, or distribute our intellectual property
  • Use our trademarks without written permission
  • Create derivative works based on the Service
  • Reverse engineer or decompile the Service
  • Remove any proprietary notices or labels
  • Use the Service to develop competing products

9.3 Copyright Complaints (DMCA)

We respect intellectual property rights and comply with the Digital Millennium Copyright Act (DMCA). If you believe your copyrighted work has been infringed, please submit a DMCA notice containing:

  1. Your physical or electronic signature
  2. Identification of the copyrighted work
  3. Identification of the infringing material and its location
  4. Your contact information
  5. A statement of good faith belief that use is not authorized
  6. A statement under penalty of perjury that the information is accurate and you are authorized to act

9.4 Counter-Notification

If you believe your content was wrongfully removed, you may submit a counter-notification containing:

  4. Your consent to jurisdiction of federal court
  5. Your contact information

9.5 Repeat Infringers

We will terminate accounts of users who are repeat copyright infringers.

10. Third-Party Services and Content

10.1 Third-Party Services

The Service may integrate with or link to third-party services, including:

  • Apple Sign In (authentication)
  • Payment processors (if applicable)
  • Analytics providers
  • Cloud services

Your use of third-party services is subject to their respective terms and policies.

10.2 Third-Party Content

The Service may display content from third parties, including:

  • User Content from other users
  • Embedded content from external sites
  • Links to external websites

We do not control, endorse, or assume responsibility for third-party content.

10.3 No Endorsement

Reference to third-party products, services, or content does not constitute endorsement or recommendation by TrueHaven.

10.4 Third-Party Links

The Service may contain links to third-party websites. We are not responsible for their content, privacy practices, or availability.

11. Disclaimers

11.1 "As Is" Basis

THE SERVICE IS PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED.

11.2 Disclaimer of Warranties

TO THE FULLEST EXTENT PERMITTED BY LAW, WE DISCLAIM ALL WARRANTIES, INCLUDING BUT NOT LIMITED TO:

  • WARRANTIES OF MERCHANTABILITY
  • FITNESS FOR A PARTICULAR PURPOSE
  • NON-INFRINGEMENT
  • ACCURACY, RELIABILITY, OR COMPLETENESS OF CONTENT
  • UNINTERRUPTED OR ERROR-FREE OPERATION
  • SECURITY OF DATA TRANSMISSION
  • RESULTS OBTAINED FROM USE OF THE SERVICE
  • CORRECTION OF DEFECTS

11.3 User Content Disclaimer

We do not warrant or guarantee:

  • The accuracy, completeness, or usefulness of User Content
  • That User Content does not infringe third-party rights
  • That User Content is legal in your jurisdiction
  • The identity or qualifications of users

11.4 No Professional Advice

Content on the Service is for informational purposes only and does not constitute professional advice (legal, medical, financial, etc.). Always seek qualified professional advice for specific situations.

11.5 Availability

We do not guarantee that the Service will be available at all times. We may suspend or discontinue the Service at any time without notice.

12. Limitation of Liability

12.1 Limitation of Damages

TO THE MAXIMUM EXTENT PERMITTED BY LAW, IN NO EVENT SHALL TRUEHAVEN, ITS DIRECTORS, EMPLOYEES, PARTNERS, AGENTS, SUPPLIERS, OR AFFILIATES BE LIABLE FOR ANY:

  • INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES
  • LOSS OF PROFITS, REVENUE, DATA, OR GOODWILL
  • COST OF SUBSTITUTE SERVICES
  • DAMAGES RESULTING FROM USER CONTENT
  • DAMAGES ARISING FROM UNAUTHORIZED ACCESS OR USE
  • DAMAGES FROM INTERRUPTION OR CESSATION OF SERVICE
  • DAMAGES FROM VIRUSES OR MALICIOUS CODE
  • ANY OTHER DAMAGES ARISING FROM USE OF THE SERVICE

12.2 Cap on Liability

IN NO EVENT SHALL OUR TOTAL LIABILITY TO YOU FOR ALL CLAIMS ARISING FROM OR RELATING TO THE SERVICE EXCEED THE GREATER OF:

  • ONE HUNDRED DOLLARS ($100 USD), OR
  • THE AMOUNT YOU PAID US, IF ANY, IN THE PAST TWELVE MONTHS

12.3 Essential Purpose

THE LIMITATIONS IN THIS SECTION APPLY EVEN IF ANY REMEDY FAILS OF ITS ESSENTIAL PURPOSE AND REGARDLESS OF THE FORM OF ACTION, WHETHER IN CONTRACT, TORT, STRICT LIABILITY, OR OTHERWISE.

12.4 Jurisdictional Limitations

SOME JURISDICTIONS DO NOT ALLOW LIMITATIONS ON IMPLIED WARRANTIES OR EXCLUSION OF CERTAIN DAMAGES. IF THESE LAWS APPLY TO YOU, SOME OR ALL OF THE ABOVE DISCLAIMERS, EXCLUSIONS, OR LIMITATIONS MAY NOT APPLY, AND YOU MAY HAVE ADDITIONAL RIGHTS.

12.5 Acknowledgment

YOU ACKNOWLEDGE THAT THE LIMITATIONS OF LIABILITY IN THIS SECTION ARE ESSENTIAL TO THE AGREEMENT AND THAT TRUEHAVEN WOULD NOT PROVIDE THE SERVICE WITHOUT THESE LIMITATIONS.

13. Indemnification

13.1 Your Indemnification Obligations

You agree to defend, indemnify, and hold harmless TrueHaven, its directors, officers, employees, agents, partners, suppliers, and affiliates from and against any and all claims, damages, obligations, losses, liabilities, costs, and expenses (including reasonable attorneys' fees) arising from:

  • Your access to or use of the Service
  • Your User Content
  • Your violation of these Terms
  • Your violation of any third-party rights (including intellectual property, privacy, or publicity rights)
  • Your violation of any applicable laws
  • Any dispute between you and another user
  • Your negligent or wrongful conduct

13.2 Indemnification Procedure

We will:

  • Notify you promptly of any claim
  • Provide reasonable assistance in the defense (at your expense)
  • Allow you to control the defense and settlement

We reserve the right to:

  • Assume exclusive defense at our expense if you fail to defend
  • Approve any settlement that could affect our interests
  • Participate in the defense with our own counsel

14. Dispute Resolution and Arbitration

14.1 Informal Resolution

Before filing any formal dispute, you agree to contact us at legal@truehaven.app to attempt informal resolution. We will try to resolve disputes within 60 days.

14.2 Binding Arbitration

PLEASE READ THIS SECTION CAREFULLY. IT AFFECTS YOUR LEGAL RIGHTS, INCLUDING YOUR RIGHT TO FILE A LAWSUIT IN COURT.

If informal resolution fails, you and TrueHaven agree to resolve any dispute through binding arbitration rather than in court, except as specified below.

14.3 Arbitration Rules

Arbitration will be administered by:

  • The American Arbitration Association (AAA) under its Consumer Arbitration Rules
  • Or another mutually agreed arbitration provider

The arbitration will be:

  • Conducted in the English language
  • Held in [Your City, State] or via video conference
  • Decided by a single arbitrator
  • Governed by the Federal Arbitration Act

14.4 Arbitration Fees

For claims under $10,000:

  • We will pay all arbitration fees
  • We will not seek attorneys' fees unless your claim is frivolous

For claims over $10,000:

  • Fees will be shared according to AAA rules
  • Each party bears their own attorneys' fees unless arbitrator awards otherwise

14.5 Class Action Waiver

YOU AND TRUEHAVEN AGREE THAT EACH PARTY MAY BRING CLAIMS AGAINST THE OTHER ONLY IN AN INDIVIDUAL CAPACITY AND NOT AS A PLAINTIFF OR CLASS MEMBER IN ANY CLASS OR REPRESENTATIVE PROCEEDING.

Unless both parties agree otherwise:

  • The arbitrator may not consolidate claims
  • The arbitrator may not preside over any class or representative proceeding
  • The arbitrator may only provide relief to the individual party

If this waiver is found unenforceable, the entire arbitration agreement is void.

14.6 Exceptions to Arbitration

The following claims may be brought in court:

  • Small claims court actions (within jurisdictional limits)
  • Injunctive relief for intellectual property infringement
  • Claims for emergency equitable relief
  • Claims that cannot legally be arbitrated

14.7 Opt-Out

You may opt out of arbitration by sending written notice to legal@truehaven.app within 30 days of first using the Service. The notice must include your name, address, and a clear statement of opt-out.

14.8 Survival

This arbitration agreement survives termination of your account or these Terms.

15. Termination

15.1 Termination by You

You may terminate your account at any time by:

  • Using the account deletion feature in Settings
  • Contacting us at support@truehaven.app

Upon termination:

  • Your account will be deactivated
  • Your content will be removed from public view
  • Your data will be deleted according to our Privacy Policy

15.2 Termination by TrueHaven

We may suspend or terminate your account at any time, with or without notice, for any reason, including:

  • Violation of these Terms
  • Violation of Community Guidelines
  • Illegal activity
  • Protecting user safety
  • Extended inactivity
  • Business reasons (service discontinuation)

15.3 Effect of Termination

Upon termination:

  • Your right to use the Service immediately ceases
  • You remain liable for any prior violations
  • Provisions that should survive termination will survive (including limitations of liability, indemnification, and dispute resolution)

15.4 Data After Termination

After termination:

  • We will delete your personal data as described in our Privacy Policy
  • Some information may be retained for legal compliance
  • Anonymized data may be retained indefinitely

16. Changes to Terms

16.1 Right to Modify

We reserve the right to modify these Terms at any time at our sole discretion.

16.2 Notice of Changes

For material changes, we will provide notice by:

  • Posting the updated Terms in the app
  • Sending a push notification
  • Emailing you (if email is provided)
  • Displaying a prominent notice

16.3 Effective Date

Changes will be effective:

  • Immediately for new users
  • 30 days after notice for existing users (for material changes)
  • Immediately for changes required by law or for safety

16.4 Acceptance

Your continued use of the Service after changes constitutes acceptance of the new Terms. If you do not agree to changes, you must stop using the Service and delete your account.

16.5 Prior Versions

Prior versions of these Terms are available upon request.

17. General Provisions

17.1 Governing Law

These Terms are governed by the laws of the State of Delaware, United States, without regard to conflict of law principles.

17.2 Jurisdiction

For matters not subject to arbitration, you consent to exclusive jurisdiction in the state and federal courts located in Delaware.

17.3 Entire Agreement

These Terms, together with our Privacy Policy and Community Guidelines, constitute the entire agreement between you and TrueHaven regarding the Service.

17.4 Severability

If any provision of these Terms is found unenforceable, the remaining provisions will continue in effect, and the unenforceable provision will be modified to the minimum extent necessary.

17.5 Waiver

Our failure to enforce any provision does not constitute a waiver of that provision or any other provision.

17.6 Assignment

You may not assign or transfer these Terms without our written consent. We may assign our rights and obligations without restriction.

17.7 No Third-Party Beneficiaries

These Terms do not create any third-party beneficiary rights.

17.8 Force Majeure

We are not liable for delays or failures in performance resulting from circumstances beyond our reasonable control (including natural disasters, war, terrorism, pandemics, strikes, government actions, or internet disruptions).

17.9 Headings

Section headings are for convenience only and do not affect interpretation.

17.10 Language

These Terms were drafted in English. If translated, the English version controls.

17.11 Electronic Communications

You consent to receive communications from us electronically. Electronic communications satisfy any legal requirement for written communications.

Acknowledgment

BY USING THE SERVICE, YOU ACKNOWLEDGE THAT YOU HAVE READ THESE TERMS OF SERVICE, UNDERSTAND THEM, AND AGREE TO BE BOUND BY THEM. IF YOU DO NOT AGREE TO THESE TERMS, YOU ARE NOT AUTHORIZED TO USE THE SERVICE.
